The Chair has written to Members to update them on our progress.
WHY WE’RE DOING THIS: The objective behind the changes is to modernise the constitutional documents, first developed when the company was founded in 1996, to reflect how Nominet operates today. They will bring Nominet in line with current legislation, remove ambiguities, and provide a better foundation for the future.
IMPORTANT CHANGE: There is one significant change: we have included a commitment to inform Members in advance of any change in scope of the company’s activities. This is now article 2 and it has been added specifically to give Members greater confidence that in future, Nominet will be obliged to make Members aware – before any change happens – of any significant departures from the current scope of activities.
VOTING THRESHOLD: We have set a high bar to approve the Articles: 90% approval with a 3% cap. This will make the changes to the Articles harder to achieve, but this will ensure that any changes come with the overwhelming backing of Members.
WHAT’S NEXT: We will table a resolution on changing the Articles of Association at the AGM in October. In the meantime, Members who have queries on the new draft of the proposed Articles can get in touch with us at [email protected].
FUTURE CHANGES: As part of the consultation, Members were asked for their views on whether there are other elements of Nominet’s Constitution that the Board should consider changing in future. The Board will update Members at the AGM.
